BJC and Saint Luke's merged two 14-hospital systems into a $10B network

The Missouri systems closed their cross-region merger in January 2024 — 28 hospitals, 44,000 employees, dual brands and two headquarters.

What was changed

In May 2023, St. Louis-based BJC HealthCare and Kansas City-based Saint Luke's Health System signed a non-binding agreement to merge into a $10 billion health system serving Missouri, Kansas and southern Illinois — two 14-hospital systems that had already spent a decade together in the BJC Collaborative, a 2012 alliance for pooling resources on cost, quality and population health.

The deal closed at the start of January 2024, about seven months after the announcement. The combined organization kept both brands by region — BJC HealthCare in the east serving St. Louis and southern Illinois, Saint Luke's in the Kansas City region — and runs from two headquarters, with a combined workforce of 44,000 employees.

The merger rode a post-pandemic wave of cross-regional hospital deals, which let systems pursue growth and diversification without the antitrust scrutiny heaped on same-market combinations: Advocate Health had formed from a $27 billion cross-state merger months earlier, even as LCMC Health's attempt to buy three HCA-owned Tulane hospitals in New Orleans hit a regulatory wall.

Why it worked

It is a case of a decade-long loose alliance graduating into a full merger, with integration risk lowered by shared history.

The dual-brand, dual-headquarters structure preserved local identity in two distant markets instead of forcing one flag.

It shows the cross-regional route health systems took to keep growing while same-market deals drew antitrust fire.

What can be applied

When same-market mergers draw antitrust fire, partner across regions — and de-risk the leap by rehearsing in a loose alliance first, as BJC and Saint Luke's did from 2012.

Aftermath

The combined system began operating under the regional brands in January 2024; Healthcare Dive updated its report on 2 January 2024 to confirm the close. No financial or quality results of the merger have been reported yet.
