Calbee was founded in April 1949 in Hiroshima by Matsuo Takashi and gave Japan Kappa Ebisen (1964), potato chips (1975), Kataage Potato (1993) and Jagariko (1995). Three generations and 56 years of family rule later, diversification plus potato-cost shocks had squeezed the operating margin to just 1.4% by FY2008.

The rescue was a governance operation. On 27 June 2005 Yasuo Nakada became the first non-family president; on 24 June 2009 PepsiCo (Frito-Lay) took 20% in exchange for Calbee absorbing the Japanese Frito-Lay unit, and Akira Matsumoto — ex-president of Johnson & Johnson Japan — became chairman-CEO. His 'from mathematics to arithmetic' program cut SKUs, centralized buying and focused on the core brands (Kappa Ebisen, Jagariko, Kataage Potato, chips, granola); the margin went from 1.4% to ~11% by FY2016, and Calbee listed on the Tokyo first section on 11 March 2011.

Scale and global reach followed: FY2025 (March 2025) revenue was a record ¥322.6B (+6.4%) with ¥29.1B operating profit and ¥20.9B net profit. Overseas moves included a US plant (2007), Calbee-Wings in Indonesia (2013), Haitai-Calbee in Korea (2011), a UK Seabrook stake (2018), and in September 2025 a majority in US tofu-maker Hodo.

From a 1.4% margin to a record FY2025: ¥322.6B revenue, ¥29.1B operating profit and ¥20.9B net profit — with a listed, board-balanced company.

Crisis gave outsiders the political space: only a broken 1.4% margin justified breaking 56 years of family control, and only an outsider CEO, free of brand nostalgia, could cut SKUs and brands.

PepsiCo's 20% was governance as strategy: the capital-plus-distribution deal locked a counterweight to the founding family and delivered Frito-Lay Japan, internationalizing distribution overnight.

When the founder's family becomes the bottleneck, engineer crisis governance: an outsider CEO, a minority investor, and SKU discipline — the capital structure keeps the reform safe.

Calbee compounded from a 1.4% margin to ~11% (FY2016) and set records every year since: FY2025 revenue ¥322.6B with ¥20.9B net profit. The founding families hold ~22% against PepsiCo's ~21% — a shareholders' balance the 2011 listing made permanent, and the reason the snack maker has stayed focused rather than reverting to family sprawl.
