FirstEnergy Solutions (FES) and FirstEnergy Nuclear Operating Company filed for Chapter 11 on March 31, 2018, after years of losses in competitive power markets pushed the unregulated side of FirstEnergy into insolvency. The filing let the parent exit the unregulated business and return to a pure regulated utility.

Two years later, in 2020, the reorganized company emerged as Energy Harbor — an independent operator of about 4,000 MW of nuclear capacity with roughly one million retail customers. With the debt cleared by the plan, it became an attractive zero-carbon platform.

In March 2023 Vistra agreed to buy Energy Harbor for $3 billion in cash plus a 15% stake in its new Vistra Vision platform, assuming about $430 million of net debt and targeting at least $125 million in annual synergies. The deal, valued at about $6.8 billion in total, closed on March 1, 2024, adding the nuclear fleet and retail book to Vistra's generation business.

Emerged from Chapter 11 in 2020 as an independent nuclear and retail platform, then sold to Vistra for $3B cash plus 15% of Vistra Vision.

The FES bankruptcy separated the competitive arm from the parent.

The 2020 emergence left Energy Harbor with a clean balance sheet.

Nuclear plus retail made it a zero-carbon growth platform.

Vistra paid $3B cash plus 15% of Vistra Vision equity.

A regulated parent can shed its competitive arm into bankruptcy, let the court clear the debt, and still hand investors a clean asset worth buying.

Vistra completed the acquisition on March 1, 2024, adding roughly 4,000 MW of nuclear generation and about one million retail customers to create Vistra Vision, a leading zero-carbon generation and retail platform. The restructuring turned a subsidiary that had dragged its parent down into a standalone business that a rival paid billions to own.
