What was changed
In 1994 the Reserve Bank of India opened the door to new private banks, and HDFC — the country's leading housing financier — was among the first approved in principle. HDFC Bank registered in August 1994, began operations in January 1995 under founding CEO Aditya Puri, and its early IPO in March 1995 was oversubscribed 55 times — a signal of how under-banked the country was.
The model was deliberately boring and durable: retail deposits as the funding base, early investment in technology (real-time internet banking among India's first, the first international debit card), and consolidation when the sector opened — the 1999 takeover of Times Bank was the first friendly merger between new private banks. The balance sheet crossed ₹100 billion in 1996 and never looked back.
The endpoint is the scale: by 2019 HDFC Bank was already India's largest private bank; on 1 July 2023 it absorbed parent HDFC Ltd in a $40 billion all-stock merger that took market value to about $172B — among the world's top five banks by market capitalisation — and customers past 120 million. A 1994 licence had become a national financial spine.
What it achieved
From 1995 opening to India's largest private bank: the $40B 2023 HDFC merger lifted it to ~$172B market value — top-5 global, 120M customers
Why it worked
Deposit-led, not wholesale-led: relying on retail deposits and branch-funded growth made the balance sheet hostage-proof through crises that sank wholesale banks — boring was the moat.
Technology as an early habit: automation and net banking from the late 1990s gave HDFC Bank a cost curve rivals took a decade to match.
The housing parent was the halo: HDFC's brand for trust was the deposit engine the new bank needed, and the 2023 merger completed that circle.
What can be applied
A new bank wins with boring deposit discipline and early technology, not clever products — and when the parent carries the trust, merge it in at the right moment to complete the scale
Aftermath
The post-merger HDFC Bank became India's second-largest lender behind SBI and one of the world's most valuable banks; the 1994 founding is taught as the model of liberalisation-era institution-building done for the long term.
