KakaoTalk launched on iOS in March 2010, Android in August, and passed a million users in September — becoming a national mobile entrance with no securities-market route. Daum, by contrast, was a declining PC portal that was already listed on KOSDAQ. On 26 May 2014 the two announced an absorption merger (Kakao absorbed into Daum, exchange ratio about 1:1.556, expected market cap around KRW 3.4 trillion), an instant reverse listing for Kakao.

The merged 'Daum Kakao' was formed on 1 October 2014 and listed new shares on 14 October. Day one closed with a market cap of roughly KRW 7.5–7.8 trillion, overtaking Celltrion as KOSDAQ's most valuable company, with the Kakao side (Kim Beom-su) as largest shareholder. KakaoTalk's ~26 million daily users gave the listed vehicle a mobile moat it had never had as a portal.

Kakao ran the playbook of a platform holding company: use KakaoTalk's login and friend graph to cold-start ventures, then float each one on its own story. KakaoBank opened on 27 July 2017 (day-one server meltdown) and listed 6 August 2021 with a first-day market cap above KRW 30 trillion. With Kakao (KRW 64.7T) plus Kakao Games (KRW 6.16T) and other units, the group crossed KRW 100 trillion in market cap intraday in August 2021; Yonhap counted the listed units at KRW 107.79 trillion on 13 August 2021, aiming to become Korea's #3 business group.

Day-one KOSDAQ leadership (≈KRW 7.5T, Oct 2014), then spin-offs — KakaoBank, KakaoPay, Kakao Games — IPO'd separately, peaking above KRW 100T (2021).

The reverse merger fused mobile reach with securities capital: Kakao got a listing without an IPO roadshow, and Daum's shareholders got a stake in the future.

Spin-off financing let each business raise on its own story (fintech, gaming, mobility) instead of dragging one conglomerate multiple; KakaoTalk's login and friend graph cold-started them all.

If you own the distribution and the capital sits behind a listing, a reverse merger can outrun years of IPO preparation — then spin each venture out to raise its own money.

After the August 2021 peak (listed units ≈KRW 107.8T, roughly US$90B), Kakao's value fell through 2022–2023: the 15 October 2022 Pangyo data-center fire knocked KakaoTalk offline for hours and drew regulator scrutiny, margin pressure hit mobility and payments, and governance criticism mounted against Kim Beom-su, who stepped down in March 2025. KakaoBank and Kakao Games remain separately listed and KakaoPay continues as the group's payments arm.
