What was changed
Sany Heavy Industry had become the world's largest maker of concrete-pumping machinery by volume — but it was a Chinese champion without a global brand: exports under 5% of sales and technology chasing rather than leading. Putzmeister, the German 'elephant', had invented the modern concrete pump, employed 3,000 people, and at its 2007 peak had done €1B in revenue before the crisis halved it.
On 20 January 2012 Sany and CITIC Capital signed to buy 100% of Putzmeister for €360M — Sany €324M (90%) and CITIC the rest, worth roughly 0.6x annual sales. Announced 31 January and closed 16 April, it was the largest overseas acquisition by a Chinese construction-machinery company. The condition that made the deal work was the one Sany accepted willingly: keep the German management and brand.
The integration was the story: Putzmeister's German CEO stayed in charge of the company and joined Sany's board, and technology and channel access flowed both ways. Sany shortened its internationalisation by 5-10 years in a single quarter; the combined concrete business targeted €2B of revenue by 2016, and Putzmeister retained its roughly 40% share of markets outside China.
What it achieved
Immediate top-tier technology, a preserved German team, and a globalisation path shortened by 5-10 years, cementing Sany's No.1 position in concrete machinery worldwide
Why it worked
Buy the frontier brand cheap: at about 0.6x sales, the downturn priced the elephant far below its 2007 peak — the same crisis that hurt Sany made the acquisition affordable.
Keep the team and keep the trust: honouring German management preserved customer relationships and technology that a purge would have destroyed — integration by respect, not replacement.
The channel was the hidden asset: Putzmeister's 90%-plus offshore revenue split handed Sany instant distribution in the markets it wanted, which no amount of organic building could have matched.
What can be applied
When your exports trail your ambition, the fastest route to a global brand is buying one at its cyclical low — and keeping the management you paid for, because trust is the asset inside the deal
Aftermath
Sany consolidated world leadership in concrete machinery; the Putzmeister acquisition became the template for Chinese machinery companies going global and a reference point for 'Chinese buyer, German management' integration.
