What was changed
In April 2022 Elliott disclosed a 3.4% stake in Suncor (about $1.6 billion) and sent a letter calling for board refresh, management overhaul and a strategic review, saying its proposals could add C$30 billion of market value (Reuters).
Suncor settled in July 2022: three new independent directors joined, a CEO search committee was formed, and a strategic review of the retail business began (Suncor news release, Form 6-K, July 18, 2022). CEO Mark Little retired, and Rich Kruger was appointed CEO effective April 3, 2023 (CTV News).
Under Kruger, Suncor cut costs and improved safety, with no worker fatalities after his arrival. By May 2024 shares were up about 33% since Elliott revealed its stake and near a 16-year high (Bloomberg via Mining.com); in October 2024 Elliott nearly doubled its position to about $3 billion (Reuters via BOE Report).
What it achieved
Suncor installed a new CEO and directors, ended worker fatalities, and its shares rose ~33% from Elliott's 2022 stake to a 16-year high in 2024.
Why it worked
Elliott's letter quantified the value it thought management was leaving on the table.
Board seats gave the CEO search real urgency.
A new CEO with an operational mandate changed the cost and safety culture.
Consistent buybacks turned the operational fix into shareholder returns.
What can be applied
A written operational thesis can work without a proxy win: Elliott named the problems, and Suncor's board adopted the medicine — new directors, a new CEO, a new cost base.
Aftermath
Kruger's changes stuck: Suncor posted record oilsands production, kept buying back shares, and Elliott raised its stake instead of exiting. The campaign became a reference case for activist-led CEO change in energy.
