In January 2023, US short-seller Hindenburg Research published a report accusing the Adani Group of stock manipulation and accounting fraud. The group's ten listed companies lost about $100 billion in combined market value, and its flagship's follow-on public offer was withdrawn, putting promoter leverage and pledged shares under immediate pressure.

Instead of only defending itself in public, the group made two financial moves. In early March 2023 the promoter S.B. Adani Family Trust sold stakes in four listed companies — Adani Enterprises, Adani Ports, Adani Green Energy and Adani Transmission — to GQG Partners, a US-based fundamental equity boutique led by Rajiv Jain, for Rs 15,446 crore ($1.87 billion). It was the first major outside investment after the rout and signaled that a long-term institutional investor had done its own diligence and stayed.

In parallel, the group deleveraged aggressively: by mid-March 2023 it had fully prepaid $2.15 billion of margin-linked share-backed financing, ahead of the March 31 commitment, plus a $500 million loan tied to the Ambuja-ACC acquisition — a $2.65 billion prepayment program completed within six weeks. This released pledged shares and cut the refinancing risk the short-seller attack had targeted.

The combination worked. By June 2024 the combined market capitalisation of the ten listed Adani companies crossed Rs 20 lakh crore, above the Rs 19.20 lakh crore level of January 24, 2023 — recovering the entire post-Hindenburg erosion in about sixteen months, with most group stocks back above pre-report levels.

Raised Rs 15,446 crore ($1.87B) from GQG, prepaid $2.15B of margin loans, and recovered the entire ~$100B market-cap erosion by mid-2024

It shows how a conglomerate under a short-seller attack can treat the crisis as a balance-sheet problem, not just a PR problem.

The GQG deal was a rare case of a fundamental US investor buying into a stock rout and being vindicated within a year.

Prepaying $2.15B of share-backed loans removed the margin-call spiral risk that made the crash self-reinforcing.

Recovering ~$100B of market value in about sixteen months is one of the fastest large-cap recoveries in Indian market history.

In a confidence crisis, bring in a credible fundamental investor and cut leverage fast; third-party validation and deleveraging restore trust faster than rebuttals.

By June 2024 the group's combined market cap exceeded its pre-Hindenburg level, with Adani Enterprises and most group stocks recovering all losses. GQG's contrarian bet turned highly profitable, and GQG raised its Adani holdings further in 2023. India's Supreme Court in January 2024 declined to order a new probe beyond SEBI's, closing a chapter of the saga, though scrutiny of the group continued.
