What was changed
Avianca, via its U.S. subsidiary, filed for Chapter 11 on March 21, 2003 as the airline crisis that began in 2001 drained Colombia's flag carrier. On March 18, 2004, Brazilian group Sinergy agreed to take 75% of the airline and provide capital investments of about $64 million, while the Federación Nacional de Cafeteros cut its stake from 50% to 25%.
German Efromovich of Sinergy said the group would keep the Colombian identity and the Avianca name. The company used the bankruptcy to renegotiate debt, cut costs, and refocus its network on the most profitable routes, signing code-shares with carriers including Iberia and Delta.
Avianca emerged from Chapter 11 in December 2004 with its financial position improved by more than $220 million and ticket revenue of $1,128 million, about 30% above target. By 2017 the group reported total operating revenue of $4,441.7 million and carried 28.6 million passengers.
What it achieved
A $64M Sinergy injection funded the restructuring, the airline exited Chapter 11 in late 2004 with finances improved by over $220M, and 2017 revenue reached $4.44B.
Why it worked
Chapter 11 filed March 21, 2003 via U.S. subsidiary
Sinergy invested about $64M for 75% control in March 2004
Exited Chapter 11 in December 2004; finances improved by over $220M
2017 operating revenue reached $4,441.7M with 28.6M passengers
What can be applied
A strategic owner who wants the brand can supply the fix: Sinergy bought 75% and kept the Avianca name, while debt renegotiation and cost discipline carried the airline out of court protection.
Aftermath
The 2003-2004 restructuring gave Avianca a new owner and a new balance sheet. Debt renegotiation, cost cuts and network refocusing improved finances by more than $220 million, and ticket revenue hit $1,128 million, 30% above target, by the December 2004 emergence. Sinergy ran the airline for a decade as it expanded across Latin America, and by 2017 Avianca Holdings generated $4.44 billion of operating revenue. The case is distinct from Avianca's later 2021 Chapter 11, and shows how a strategic investor can turn court protection into a turnaround.
