China Railway Materials, the state group behind the country's railway-supply trade, had liabilities of ¥56bn by the end of Q1 2016 — about ¥18bn of it bank debt, with a leverage ratio near 80% after years of steel-trade financing losses (a ¥7.6bn net loss in 2014).

In April 2016, ¥16.8bn of its bonds were suspended, sending a default scare through China's bond market and straining the 'implicit state guarantee' narrative. SASAC tapped Chengtong Group to manage the company and it honored ¥6.8bn of super-short-term bonds due that year.

On Jan 19 2017 the company, the bank creditors' committee and private-placement bondholders signed a debt restructuring agreement in Beijing: principal guaranteed, partial repayment, maturity extensions and rate cuts, plus a conversion option. It was China's first private-placement bond restructuring and the first market-based debt-for-equity swap led by an asset management company under the Oct 2016 State Council guidance.

Great Wall AMC, which signed a framework pact on Dec 15 2016, bought ¥10bn of the private bonds and committed staged funding of ¥10bn more. In the end no bank chose equity conversion — principal was preserved, interest roughly halved, and loans were stretched to five or ten years.

Default averted: ¥30bn+ debt reset to 5–10 years, half interest, principal preserved, Great Wall AMC absorbed ¥10bn bonds.

A state-mediated workout let the SOE survive at the lowest cash cost while giving creditors certainty of principal.

Restructuring the private-placement bonds avoided a precedent fight over seniority (public bondholders had benched first in earlier cases).

Bringing an AMC in gave the plan an institution with capital and asset-recovery skills, not just a promise.

When a borrower cannot pay, restructure the tenure before the price — preserving principal with longer maturities costs creditors less than forcing an insolvency.

After the swap, the group moved to introduce strategic investors and prepare its quality businesses for listing, with chairman Ma Zhengwu emphasizing a package that protected principal while resetting terms on more than ¥30bn of financial debt. The rehabilitated group later formed the core of China Logistics Group, the integrated logistics SOE established in December 2021.
