What was changed
India's RBI caps bank CEO tenure at 12 years for promoter-CEOs, which meant chairman Prakash Apte, founder-CEO Uday Kotak and joint MD Dipak Gupta all had to step down from Kotak Mahindra Bank by end-2023. Rather than run his term to December, Kotak resigned on 2 September 2023, telling the board he wanted a smooth transition by sequencing the three departures. He moved to a non-executive director seat, keeping his knowledge inside the bank without executive power.
Dipak Gupta, joint MD and a Kotak veteran since 1999, became interim MD & CEO with RBI approval while the board and regulator vetted the permanent successor. In October 2023 the bank named Ashok Vaswani, an outsider with a four-decade career at Citigroup and Barclays across the UK, Africa and the Middle East, as MD & CEO for three years from 1 January 2024 — the first time the founder's bank handed itself to a professional global banker.
The handover never touched the numbers. In the December 2023 quarter — the transition quarter straddling Gupta's interim stint — standalone net profit rose 7.6% YoY to Rs 3,005 crore, net interest income grew 16%, advances jumped 19% and gross NPAs improved to 1.73% from 1.90%. Vaswani took over with Kotak still on the board as mentor, describing the bank as 'a fantastic platform' whose challenge was scaling.
What it achieved
Continuity: Q3 FY24 profit up 7.6% YoY to Rs 3,005 crore, advances up 19%, gross NPA down to 1.73% through the leadership change
Why it worked
Founder-CEO exits at large banks are rare smooth events; Kotak planned his own exit months early to de-risk it.
Sequencing three simultaneous regulator-mandated departures avoided a leadership vacuum at India's fourth-largest private bank.
Choosing an external global banker over internal candidates signalled a break from founder-centric governance.
Quarterly results across the transition showed no disruption, validating succession planning as a performance issue, not just compliance.
What can be applied
A founder who steps down early, sequences overlapping exits, and lets the regulator vet an outsider successor can make the hardest transition in banking look uneventful.
Aftermath
Vaswani served from 1 January 2024 with Uday Kotak remaining a non-executive director and mentor on the board. The succession became the reference case for RBI-driven CEO transitions at Indian private banks. Kotak, who had run the institution since converting it into a bank in 2003, framed his early exit as the final act of building an institution that could outlive its founder.
