In November 2016 Mahindra & Mahindra revamped its top deck: Pawan Goenka, president of the automotive division, was elevated to managing director, while Anand Mahindra was redesignated executive chairman. Anand Mahindra, the founder's grandson, had chaired the group since 2012, when he took over from his uncle Keshub Mahindra.

The company framed the split as its established practice: the MD/CEO position would stand apart from the chairman, who would 'continue to oversee, and be responsible for shaping, the growth strategies'. Goenka had joined M&M in 1993 after 14 years at General Motors in Detroit, built its R&D capability and launched the flagship Scorpio.

The endgame was declared early. In December 2019 the Mumbai group announced that Anand Mahindra would move to a non-executive position, that Goenka would retire after three decades with the company, and that Rajesh Jejurikar would take over the farm and automobile businesses — a full re-shuffle rehearsed more than a year before the deadline.

On April 2, 2021 Anish Shah took over as MD & CEO. Shah had been deputy managing director and chief financial officer, and before joining Mahindra had been president and CEO of GE Capital India, where he led the turnaround of its SBI Card joint venture. Anand Mahindra handed him 'complete oversight of all Mahindra Group businesses', arguing that the 75-year-old group had thrived 'because we were good at introducing change in the right measure at the right time'. Shah took charge mid-pandemic, with the auto business under competitive pressure.

A five-year staged handover: Goenka ran M&M as MD from 2016, ex-GE Capital executive Anish Shah became MD & CEO on April 2, 2021 — the family kept only the chair.

Governance before personnel: M&M presented the 2016 split as its long-standing practice of keeping the MD/CEO distinct from the chairman, normalizing a professional operator above family control.

A trial the market could watch: Goenka's five years as MD tested whether non-family leadership could carry the promoter's flagship, in public and on the promoter's own clock.

Continuity over charisma: Shah was already deputy MD and CFO, so 2021 promoted a known quantity instead of gambling on an outside savior.

Sequencing beat spectacle: the 2016 elevation, the December 2019 announcement and the April 2021 handover came as separate, digestible steps rather than one cliff-edge event.

Promoters professionalize best by designing their own shrinking role in advance: split chair from CEO, run a multi-year trial with an insider, then promote the tested deputy.

Shah took the reins on April 2, 2021 with the pandemic still squeezing auto demand, while Anand Mahindra moved to a non-executive chairman's role and Goenka retired after three decades that had included the Scorpio launch and the acquisition-led growth of the utility-vehicle business. The handover made M&M one of India's largest promoter groups run day-to-day entirely by professionals, with the founding family's presence reduced to the chairman's chair — the model Anand Mahindra had announced in 2019 and executed on schedule in 2021.
