What was changed
When COVID crushed hospital admissions and balance sheets, Manipal Health Enterprises, the chain founded by the Pai family in Karnataka, had roughly 4,500 beds and needed capital to expand while rivals consolidated. Temasek had built an 18% stake over six years of patient investing, while TPG held about 21% and the government-backed NIIF also sat on the register.
In April 2023 Temasek bought an additional 41% from the promoters, TPG and NIIF at an enterprise valuation of Rs 40,000 crore, writing a cheque of about Rs 16,000 crore. Its stake jumped to 59% from 18%. The Pai family kept a portion of its 52% holding, Ranjan Pai stayed on to run the company, and a planned IPO was shelved while the new ownership settled.
With one committed owner, the chain went on an acquisition run: Columbia Asia, AMRI Hospitals for Rs 2,300 crore, Medica and Vikram, and in 2025 Sahyadri Hospitals from Ontario Teachers' Pension Plan for over Rs 6,000 crore. By July 2025 its valuation had reached about $13 billion, more than four times the roughly $3 billion it carried in 2021.
What it achieved
Valuation rose from about $3 billion in 2021 to $13 billion by 2025; beds grew from 4,500 pre-pandemic to about 12,000, making it India's largest hospital chain.
Why it worked
A hospital chain's binding constraint is capital for beds and acquisitions, and Temasek offered patient money that an IPO or a financial exit could not match at that moment.
Pai sold control but kept management, trading voting power for scale while preserving the operating culture.
Concentrating ownership in one committed investor simplified decisions for an acquisition-heavy plan.
The family retained a meaningful stake, so it shared the upside that the new capital later created.
What can be applied
Giving up control is not losing the company. A founder who sells majority to a patient long-term investor can keep running the business and own a much larger outcome.
Aftermath
The Sahyadri buy made Manipal India's largest hospital chain with about 12,000 beds, and pushed its valuation to around $13 billion. In March 2026 it filed draft papers for India's biggest healthcare IPO: a fresh issue of Rs 8,000 crore to repay Rs 5,378 crore of debt and buy a minority stake in Sahyadri, alongside an offer for sale of up to 43.23 million shares, with a launch targeted for end-2026 against total borrowings of Rs 10,612.79 crore as of January 2026.
