TreeHouse Foods had been assembled from many private-label food deals and was hard to operate consistently. In March 2021, it settled with JANA Partners, adding two agreed nominees to the board and putting one on the Strategy and Long-Range Planning Committee.

Rather than sell the whole company, TreeHouse chose simplification. In August 2022 it agreed to sell a significant portion of its Meal Preparation business to Investindustrial for $950M.

The sale carved out pasta, sauces, dressings, preserves and related lines. Management said the move would focus TreeHouse on higher-growth, higher-margin snacking and beverage categories and use proceeds mainly to reduce debt.

A $950M divestiture cut complexity and targeted leverage below 4.0x by year-end 2022.

JANA's board seats moved the strategic-review demand inside governance.

The sale removed a large, lower-focus block of categories instead of chasing another acquisition.

Debt reduction made the operating pivot more credible.

If a portfolio is too complex to run well, the best answer to a sale demand may be a smaller company with a clearer right to win.

TreeHouse completed the sale in October 2022 and renamed the divested business Winland Foods under Investindustrial. The remaining company became a more concentrated private-label snacks and beverages manufacturer.
