What was changed
Vietnam Dairy Products (Vinamilk) was equitised and listed on the Ho Chi Minh Stock Exchange in 2003, among the country's earliest major SOE listings, with the state keeping just over half. Thirteen years later it was the exchange's largest company by market capitalisation and Vietnam's dominant dairy producer.
In late 2016 the government moved to cut its holding through competitive bids rather than negotiated sales. Singapore's Fraser & Neave, already a 10.95% holder worth about $1.4 billion, bid through two subsidiaries for a further 5.4% and paid about $498.9 million — lifting its stake to 16.35% — in a deal valued at 11.2 trillion dong.
The auction format let the market set the price of a national champion block by block. For F&N, rebuilding itself as a regional food-and-beverage group, Vinamilk became the core asset; for Vietnam, the sale proved that equitised SOEs could attract long-term strategic capital at scale.
What it achieved
F&N paid $498.9m for a further 5.4% (to 16.35%); its earlier 10.95% was already worth about $1.4bn
Why it worked
The 2003 listing gave the state a liquid, priced asset before it sold anything major.
Competitive bids replaced opaque negotiated deals, protecting the state on price.
Vinamilk's distribution network and rising dairy demand made its blocks strategic, not speculative.
F&N's existing $1.4bn stake anchored demand and signalled quality to other bidders.
What can be applied
Equitise early, then sell down by auction: a decade as a listed company let Vietnam price its dairy champion transparently instead of haggling behind closed doors.
Aftermath
F&N kept building its holding toward a fifth of the company while the state investment arm SCIC remained Vinamilk's largest shareholder. Vinamilk stayed the Ho Chi Minh exchange's flagship stock, and the 2016 auctions became the warm-up for Vietnam's record Sabeco privatisation a year later.
