What was changed
Vodafone Idea entered the 2020s weighed down by ₹2.1 lakh crore of debt, most of it spectrum and AGR dues owed to the government. In September 2021 the government offered telcos a reforms package that let interest on those dues be converted into equity.
In January 2022 the Vodafone Idea board approved converting ₹16,133 crore of interest liability into shares, making the government the largest shareholder at about 35.8%.
What it achieved
Debt fell by ₹16,133 crore, the government became the biggest shareholder, and a ₹18,000-crore FPO followed in 2024 to fund 5G.
Why it worked
Equity conversion cut the telco's immediate cash outflows at the worst point of its crisis
A government stake signalled that the state preferred a private operator alive to one liquidated
The cleaner balance sheet made later equity fundraising credible with private investors
What can be applied
Converting a crippling liability into patient equity can buy a company the time it needs to raise fresh capital.
Aftermath
In April 2024 Vodafone Idea raised ₹18,000 crore in India's largest FPO at the time, diluting the government's stake to about 24% and earmarking ₹5,720 crore for 5G. The company stayed loss-making but gained a viable path to compete.
