On August 1, 2024, Philadelphia-based Jefferson Health and Allentown-based Lehigh Valley Health Network closed their merger, announced by letter of intent in December and signed as a definitive agreement that May. The combined system operates under the Jefferson Health brand with 32 hospitals, more than 700 sites of care and a combined 62,000 employees serving eastern Pennsylvania and southern New Jersey.
The merger yields roughly $14 billion in annual revenue, placing the system among the top 15 not-for-profit health systems in the US and making it Pennsylvania's second-largest behind Pittsburgh-based UPMC. Jefferson brought 17 hospitals, more than 42,000 employees and its nonprofit health plan, but also strained finances: a $231 million operating loss in fiscal 2023 and a restructuring earlier in 2024. LVHN brought 13 hospital campuses, a network of 29 health centers and about 20,000 employees — and a $10.4 million operating income in fiscal 2023.
Executives framed the deal at the J.P. Morgan Health Conference as a way for both systems to build resiliency to market headwinds and large-scale disruptions like the COVID-19 pandemic, and as a path for Jefferson to "double down" on its nonprofit insurance plan by expanding Jefferson Health Plans into the Lehigh Valley, where LVHN has a strong presence. Joseph Cacchione continues as CEO of the enterprise; Baligh Yehia serves as president of legacy Jefferson Health, and Brian Nester oversees legacy LVHN.
