What was changed
Denny's, the 24-hour diner chain, had posted years of declining same-store sales. In September 2025 JCP Investment Management and Jumana Capital filed a Schedule 13D after building a stake, saying they intended to meet with the board to discuss opportunities to increase value.
Soon after, TriArtisan Capital Advisors expressed interest in buying the chain. Denny's board conducted a review of strategic alternatives, reached out to more than 40 potential buyers and received multiple offers before signing an all-cash deal valuing the company at about $620 million.
The buyers — TriArtisan, Treville Capital Group and Yadav Enterprises, one of Denny's largest franchisees — took the company private, ending its public-market run. CEO Kelli Valade said the board evaluated the deal against Denny's standalone plan and all external alternatives.
What it achieved
Denny's agreed to an all-cash ~$620M sale to TriArtisan, Treville and Yadav (Nov 3, 2025) after a review that contacted 40+ buyers; it closed private in early 2026.
Why it worked
The activist filing signalled that standalone performance was no longer enough, prompting management to seek alternatives.
A broad market check with 40+ buyers gave the board a credible basis to accept the offer.
A franchisee-led buyer group saw value others missed, paying a premium for an iconic brand.
What can be applied
A declining chain can convert activist pressure into a disciplined sale: run a genuine market check with many buyers, then accept a control premium with confidence.
Aftermath
The acquisition closed in early 2026, making Denny's a privately held company for the first time since 1997; the announcement sent the shares up roughly 50%. Yadav's restaurant operating experience was expected to help revive the brand under private ownership.
