By the mid-2010s the Ruia family's Essar Group was one of India's most indebted conglomerates, with steel, power and oil interests weighed down by loans. Essar Oil — the 20-million-tonne Vadinar refinery, a 58-mt captive port, a 1,010-MW power plant and over 3,500 petrol pumps — contributed over 25% of group revenue and over 75% of its profit.

Signed on October 15, 2016 at the Goa BRICS summit, the deal to sell Essar Oil was held back by domestic lenders before closing on August 21, 2017. Rosneft took 49.13%, and a Trafigura-United Capital Partners consortium an equal stake, valuing the business at $12.9 billion — $10.9 billion for the refinery and retail assets plus $2 billion for the port infrastructure.

Essar director Prashant Ruia said proceeds would pare Rs 70,000 crore, about 60% of total group debt, calling it 'the largest deleveraging in the history of India Inc' and the country's largest-ever FDI inflow. About Rs 4,000 crore went to domestic lenders including LIC and state-run insurers.

$12.9B for Essar Oil — refinery, port, power plant and 3,500 pumps — letting Essar repay Rs 70,000 crore, about 60% of its total debt, in India's then-largest FDI deal

Essar Oil was the group's profit engine, so only its sale could raise enough to matter against the debt pile.

Selling to a strategic consortium (Rosneft plus Trafigura-UCP) maximized the price for a complex refining asset.

Keeping lenders at the table through the delay let the deal close instead of collapsing into loan recovery.

Repaying ~60% of group debt at once reset Essar's balance sheet for a new phase across its remaining portfolio.

When debt becomes existential, selling the best asset whole — not the weak ones piecemeal — can retire enough leverage at once to save the rest of the group.

The Ruias exited Essar Oil entirely — the 98.26% they controlled passed to Rosneft's Petrol Complex and the Trafigura-UCP vehicle Kesani Enterprises. Shashi Ruia framed the sale as ushering in 'a new phase of growth' for the group's remaining businesses, freed from their heaviest debt burden.
