What was changed
Medibank Private, Australia's largest private health insurer, had been government-owned since 1976. By 2014 the federal government was simultaneously the regulator of private health insurance and the market's biggest participant, a conflict the Coalition government had long promised to end.
Finance Minister Mathias Cormann launched the sale in September 2014 with an explicit rationale: there was no good reason for the government to own a commercial insurer in a market with 34 private health funds, and the proceeds would go to infrastructure. The government's objective was to sell 100% of the company.
The November 2014 IPO priced at A$2.00 for retail investors and A$2.15 for institutions — the top of the range — with 60% of shares allocated to retail and 33.2% to eligible policyholders. The sale raised A$5.7 billion, exceeding the A$4.3–5.5 billion expected, and was the biggest privatisation of a public asset since Telstra.
Medibank began trading among the nation's 50 largest listed companies and delivered for shareholders: for FY2024 it reported a 59.6% increase in after-tax profit and 8.1% revenue growth, with a fully franked final dividend of 9.4 cents per share.
What it achieved
The November 2014 IPO sold Medibank for A$5.7B — Australia's biggest privatisation since Telstra — with 60% of shares going to retail investors.
Why it worked
Owning the largest fund while regulating the market was an untenable conflict.
Selling 100% removed the conflict rather than merely diluting it.
A 60% retail allocation and policyholder priority built political support.
Pricing at the top of the range maximised proceeds for infrastructure.
What can be applied
When the state is both regulator and owner, selling outright removes the conflict; a broad retail tranche converts privatisation into wider share ownership.
Aftermath
Medibank Private has traded as a top-50 ASX company since its 2014 listing, paid regular fully franked dividends, and remained Australia's largest private health insurer. The sale is now the standard reference point for Australian asset sales — the biggest privatisation since Telstra and a model of a broad retail float.
