Nirma, the Gujarat detergent group founded by Karsanbhai Patel, had entered cement only in 2014 with 2.3 million tonnes of capacity. When LafargeHolcim put its Indian unit up for sale in 2016, Nirma was seen as an outsider against bidders like Sajjan Jindal's JSW Cement and Piramal Enterprises.

In July 2016 Nirma agreed to buy Lafarge India for an enterprise value of about $1.4 billion (₹9,400 crore), outbidding both rivals. The deal gave it roughly 11 million tonnes of capacity in one stroke, subject to Competition Commission of India approval.

Nirma rebranded the business Nuvoco Vistas, added Emami Group's cement company in 2020, and became India's fifth-largest cement maker and the dominant player in the east. In May 2021 Nuvoco filed draft papers for a ₹5,000-crore IPO, planning to use most of the fresh-issue proceeds to pay down borrowings of ₹7,642 crore.

₹9,400 crore ($1.4B) bought 11 Mt of capacity; Nuvoco became India's fifth-largest cement maker and filed a ₹5,000-crore IPO in 2021 to pare its ₹7,642-crore debt

LafargeHolcim needed to sell India assets, giving a non-incumbent a rare chance to buy national scale at once.

Buying 11 Mt was faster and cheaper than building plants in a license- and land-constrained industry.

Nirma funded the bet from its own balance sheet, then planned an IPO to deleverage once scale was proven.

The follow-on Emami cement purchase in 2020 deepened its eastern-India dominance before listing.

A family firm with cash-generative core businesses can leapfrog into a new industry by buying a distressed incumbent's asset at scale, then using public markets to digest the leverage.

Nuvoco Vistas filed its draft red herring prospectus with SEBI in May 2021 for a ₹5,000-crore IPO, with the majority of fresh-issue proceeds earmarked to pare total borrowings of ₹7,642 crore as of March 31, 2021. The Nirma group, once synonymous with low-cost detergent, had become a top-five Indian cement producer within seven years of entering the business.
