What was changed
PropertyGuru was founded in Singapore in 2007 by Steve Melhuish and Jani Rautiainen as a property-search portal and expanded across Southeast Asia through acquisitions (Vietnam's Batdongsan.com.vn, 2018). Growth cost money: 2019 net loss S$38.5M, 2020 S$14.4M, H1-2021 S$150.6M (mostly preferred-share fair-value charges), and a planned 2019 ASX IPO was scrapped.
Two deals defined the turnaround. In August 2021 PropertyGuru acquired REA Group's Malaysia and Thailand portals (iProperty, thinkofliving, Brickz, Prakard) by issuing equity — REA took ~18% and committed US$52M, turning a competitor into a cornerstone shareholder. In July 2021 it announced a merger with Bridgetown 2 Holdings, the SPAC of Richard Li's Pacific Century and Peter Thiel's Thiel Capital, at ~US$1.78B market value; the deal closed 18 March 2022 (NYSE: PGRU, EV ~US$1.36B, equity ~US$1.61B, ~US$254M gross raised), debuting at US$8.46, +1.56%.
The public market never re-rated the stock above its US$10 PIPE price (US$6.26 in Aug 2024), despite a 2023 turn: revenue S$150M (+11%), adjusted EBITDA S$19M, Q4 net profit S$1M, cash S$306M. On 16 August 2024 EQT Private Capital Asia agreed to buy the company for US$6.70/share (~US$1.1B); the deal completed 13 December 2024, delisting PGRU — a full listing arc in 26 months.
What it achieved
REA's Malaysia-Thailand portals folded in via share swap, a $1.78B SPAC listing (~$254M raised), and a 2023 turn: S$150M revenue, S$19M adjusted EBITDA.
Why it worked
A share-swap acquisition removed a region-adjacent competitor without burning cash — REA's 18% made it an ally whose portals filled Malaysia and Thailand overnight.
SPAC capital is impatient: the same assets priced at $1.78B in 2022 were bought for $1.1B in 2024 — the take-private swapped public short money for EQT's patient capital.
What can be applied
Every market has two clocks — the asset's and the capital's; when they don't align, expect the re-rating later. A 26-month SPAC round-trip ending at a 38% discount is the price of time.
Aftermath
Post-delisting, PropertyGuru keeps its Singapore HQ: fundamentals remained sound (S$306M cash, profit from Q4 2023), and the 2024 exits (79 layoffs, Rumah.com, FastKey) were pruning, not distress. EQT's patient capital replaces the public clock; the same portals that led Singapore, Malaysia, Thailand and Vietnam since 2007 now report to a private owner again.
