What was changed
Allegro was founded in 1999 in Poznań as Poland's C2C auction site, owned successively by QXL Ricardo (2000), Tradus (2007) and Naspers (2008). In October 2016 Cinven, Permira and Mid Europa agreed a $3.253 billion (≈€2.75B) buyout, completed on 18 January 2017 — one of Central Europe's biggest private-equity deals. At the time the business had 20M+ registered users, 14 million monthly transactions and 1,275 staff.
The PE-era rebuild was operational: a new chairman (Darren Huston) and CEO (François Nuyts), an app-first mobile push, logistics and pricing tools, and the Allegro SMART! subscription (2.1 million subscribers by June 2020). During the holding period GMV rose 99%, net revenue 102% and adjusted EBITDA 113%; COVID added a tailwind (LTM GMV +54% by June 2020).
Allegro listed on the Warsaw Stock Exchange on 12 October 2020 at PLN 43 for a market cap of PLN 44B (≈€9.8B). The three funds sold ~183M shares for PLN 7.85B (≈€1.76B) keeping ~73%; the stock closed day one at PLN 70, +63%, at nearly $19B — Warsaw's largest-ever IPO and Europe's biggest of 2020. With ~40% of Polish e-commerce, Allegro bought Mall Group and WE|DO (€881M, April 2022) to enter the Czech, Slovak and Hungarian markets, and compounded through Allegro Pay: FY2024 Poland GMV PLN 60.71B (+10.8%), revenue PLN 9.5B, adj. EBITDA PLN 3.59B and PLN 10.8B of lending; FY2025 GMV PLN 70B
What it achieved
PE turn: GMV +99%, revenue +102%, EBITDA +113%; then an IPO pricing the company at PLN 44B — closed +63% day one, funds keeping ~73%.
Why it worked
The buyout fixed the owner problem: private equity plus professional management (mobile, logistics, subscriptions) converted a 20M-user asset into a compounding machine — then IPO'd at the COVID
Float 25%, keep 73%: the funds monetized €1.76B while retaining control — a partial exit that let them ride the later PLN 77B market cap onward.
What can be applied
A dominant marketplace owned by an indifferent conglomerate is a sleeping asset: a leveraged buyout can rebuild it and a milestone IPO can price it — list a slice, keep control, let the cycle
Aftermath
Allegro became Central Europe's dominant marketplace and a fintech-led platform: FY2025 GMV PLN 70B (~$19.4B) with 20.4M active buyers in four countries, Allegro Pay lending PLN 10.8B/year, about 40% Polish share, and a PLN 1.4B buyback announced for 2025.
